Key Responsibilities

• Review, assist in drafting, negotiate and finalise a host of commercial agreements for supply, receipt of services, procurement, hire, consulting, leases, deeds, work and purchase orders, MoU, settlement agreements, NDA, terms, novation and amendments to the same for various business lines including raw materials, machinery, equipment, land, agency, operation and maintenance services, sub-contracting, employment along with ascertaining stamp duty prior to execution of the agreements. Provide legal support regarding the contractual interpretation and day-to-day documents.
• Review and draft documentation such as legal notices, correspondence in response to extra judicial claims by conducting internal investigation, to procure and collate the case related facts/details from different internal departments.
• Advise on civil, NCLT, electricity and labour matters, pre-litigation risk mitigation, and reduction in contingent liability along with review and assist in drafting of rejoinders, plaints, written statements, and other ancillary documents.
• Research and prepare reports, briefs on diverse legal issues that may have impact on the operation of DBL and assist in developing strategies to avoid potentially damaging legal situations, which involves working closely with internal teams and counsels to ensure appropriate implementation in PAN India operations.
• Assistance to Vice President-Legal in addressing any enquiries by statutory authorities like NHAI, Coal India subsidiaries, advising the management on possible legal repercussions of the existing and/ or imminent and other day to day issues through legal dialect; aid and support in bank consortium meetings.
• Assist in handling legal queries received from other departments to provide legal advice and guidance consistent with DBL's corporate policies on matters traversing different statutes.
• Facilitate the engagement and oversee outside counsel relationship. Liaison with retainers, consultants and lawyers for legal opinions and for effective representation.
• Travel and assist in representing DBL before various statutory, regulatory, quasi-judicial forums, tribunals and authorities across multiple jurisdictions.
• Present summaries, briefs and notes for ready reckoning of management including the upkeep of MIS of cases.
• Keep abreast of legislative change and advising company on impact and consequences affecting business.

Key Achievements

• Received final order by Hon'ble Indore NCLT bench dismissing CIRP proceeding u/s section 9 of IBC, 2016 in favour. Further an order in favour by Hon'ble Mumbai bench dismissing I.A in NCLT matter.
• Negotiated settlement vide settlement agreement and NOC in civil matter listed in state of Andhra Pradesh concerning DBL's Vijayawada-Patchilipatnama Project. Also, Negotiated settlement in a matter at pre-litigation stage vide settlement agreement/MoU.
• Minimized substantial contingent liability through favorable order in an electricity matter before CGRF, Kolhapur against the MSEDCL in an assisting capacity.
• Minimized risk exposure through various careful and strategic legal notices and replies to legal notices served relating to but not limited to vendor, sub-contracting, lease, employment agreements and purchase/work orders.
• Ensured spectrum of quarterly and annual GST reconciliation and compliance by vendors ensuring eligible Input Tax Credit claims and reduced the risk of discrepancies through the issuance of legal notices and communication with internal and external side.
• Assisted in successful investor meet through a well-run roadshow presentation.

• Practiced as an Advocate, gained experience by working at Bhopal District & Sessions Court, High Court of Madhya Pradesh, Consumer Commission, Real Estate Regulatory Authority, National Green Tribunal, Right of Information Forum, Railway Claims Tribunal.
• Assisted in drafting and finalised plaints, complaints, written statements, bail applications along with legal notices, reply and case briefs.
• Reviewed and evaluated evidence, ruling on exceptions, motions and admissibility of evidence. Researched, analyzed laws, regulations, policies and precedents decisions.
• Assisted in client legal advisory for various departments, banks, companies, businesses and individuals.
• Conducted pre hearings and status conferences in order to explore the possibility of settlement.
